Software Licensing Agreement (EULA)

This EULA reflects our one-time-purchase, 3-machine-activation licensing model. It has not been reviewed by a lawyer — please have one review it before relying on it for anything high-stakes.

This Licensing Agreement ("Agreement") is between you ("Licensee," "you") and Smash Happy Audio ("we," "us," "our"), based in Kamloops, British Columbia, Canada, and governs your use of any Smash Happy Audio plugin software you've purchased or downloaded (each, the "Software"). By installing or using the Software, you agree to this Agreement. If you don't agree, don't install or use the Software.

1. License grant

Subject to this Agreement and payment of the applicable purchase price, we grant you a non-exclusive, non-transferable (except as allowed in Section 6) license to install and use the Software:

  • On up to 3 machines that you own or control, for your own use.
  • For both personal and commercial purposes — you're free to use the Software in commercial music production, mixing, mastering, sound design, or any other paid or professional work, and you own all rights to audio you create using it.

This is a license, not a sale of the Software itself — we retain ownership of the Software; you own the license to use it under these terms.

2. What's restricted

You may not:

  • Share, resell, sublicense, rent, or lease your license key or the Software to anyone else.
  • Distribute, publish, or make the Software (or its installer) available for others to download.
  • Reverse-engineer, decompile, or disassemble the Software, except to the extent applicable law expressly permits despite this restriction.
  • Remove or alter any copyright, trademark, or other proprietary notices in the Software.
  • Use the Software to build a competing product.

3. License keys and activation

Your license key is tied to your purchase and is yours to use across your own 3 permitted machines. If you need to move your license (e.g., you sold an old computer), deactivate it on the old machine first through the Portal, or contact support if you're unable to.

4. Updates

We may release updates, bug fixes, or new versions of the Software. Minor updates are typically included in your existing license at no extra cost; whether a major new version requires a separate purchase will be communicated clearly at the time it's released.

5. Trial versions

If a trial or demo version of the Software is offered, it's licensed to you only for evaluation purposes, may include time limits or reduced functionality, and this Agreement applies to it as well.

6. Transfer

You may transfer your entire license (key and all associated rights and obligations) to another person as a single one-time transfer, provided you deactivate it on all of your own machines first and notify us so we can update our records. Split transfers (keeping some activations yourself) aren't permitted.

7. Termination

This license ends automatically if you violate this Agreement. We may also revoke a license where a purchase is refunded, reversed, or found fraudulent. On termination, you must stop using the Software and remove it from your machines.

8. Ownership and intellectual property

The Software, including its code, sound design, presets, and interface, is owned by Smash Happy Audio and protected by copyright and other intellectual-property laws. This Agreement gives you a license to use the Software — it doesn't transfer any ownership or intellectual property rights to you.

9. No warranty

To the fullest extent permitted by law, the Software is provided "as is," without warranty of any kind, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. We don't guarantee the Software will be error-free or compatible with every system configuration, though we make reasonable efforts to test and support current macOS versions and major DAWs.

10. Limitation of liability

To the fullest extent permitted by applicable law, our total liability under this Agreement is limited to the amount you paid for the Software. We are not liable for indirect, incidental, or consequential damages (including lost projects, lost profits, or lost data) arising from use of the Software. Nothing here limits liability that cannot be limited under applicable law.

11. Governing law

This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in it.

12. Changes to this Agreement

We may update this Agreement for future purchases or versions of the Software; the version in effect at the time of your purchase governs your existing license unless we're required to update it for legal reasons.
